Influencer Gifting Agreement
Acme Skincare × Maya Calder (@maya.calder)
This Gifting Agreement ("Agreement") is entered into as of ________________ between Acme Skincare ("Brand", hello@acmeskincare.com) and Maya Calder (@maya.calder) ("Creator").
The Brand will provide the following product to the Creator at no charge: 1x Acme Vitamin-C Serum (30ml). Approximate retail value: $48 USD. The Product is provided as a gift; no cash payment is owed unless stated in a separate addendum.
In exchange for the Product, the Creator agrees to publish 1 piece(s) of content: Instagram (1 in-feed post + 1 story).
The Creator will publish the deliverables within 21 days of receiving the Product. If the Creator cannot meet this window, they will notify the Brand before the deadline.
The Creator will clearly disclose the gifted relationship in compliance with FTC guidelines: a clear "#ad" or "#gifted" in the first line of the caption, and a verbal disclosure within the first 30 seconds of any video. Disclosures will not be buried in a list of hashtags.
The Creator grants the Brand a non-exclusive license to reshare the deliverables organically on the Brand's owned social channels, with credit to the Creator. This does not include paid advertising or whitelisting.
The Brand may request reasonable factual corrections (e.g. wrong product name or price) before or shortly after posting. The Creator retains full creative control over tone, style, and presentation.
If the Creator does not publish the deliverables within the posting window and does not communicate a delay, the Brand may decline future collaborations and may request return of the Product or its retail value. The Creator is not otherwise liable for cash damages.
This Agreement is governed by the laws of Ontario, Canada. It represents the entire understanding between the parties and may be amended only in writing.
